Confidentiality Declaration

Fiducia Treuhand GmbH shall keep all documents confidential,
which are marked as confidential. Employees of the Fiducia
Treuhand GmbH are contractually bound to observe
confidentiality. Any advisors to Fiducia Treuhand AG shall be
bound to observe confidentiality either by law (tax
consultants, auditors, attorneys) or by contract.
If the acquisition shall not be concluded, Fiducia Treuhand
GmbH at request shall return or destroy the documents.
The obligation of confidentiality does not apply in the event
that
a) the information is already publicly known prior to delivery
to us or is made publicly known after delivery to us.
b) we have to disclose the information subject to a court or
official order (eg to tax authorities) or a statuary
obligation.
This confidentiality declaration is valid for a period of 18
months from the date of signature.
Fiducia Treuhand GmbH shall not to actively solicit for
employment any of the target company's employees.
All our own costs and expenses, in particular the costs of our
agents, shall be borne by us.
Any costs and expenses incurred by you, in particular the
costs of your agents shall be borne by you, unless it is
expressly agreed otherwise in writing.
This agreement shall be governed by the laws of the federal
republic of Germany, exclusive jurisdiction shall be Bonn, to
the extent permitted by law.
